These Terms of Use are a binding agreement between you and AQuire ("AQuire," "we," "us," or "our") and govern your access to and use of AQ Techniques, the gated clinical technique-video library, together with the related website, player, account, and services (collectively, the "Service"). By creating an account, accepting these Terms, or accessing any content, you confirm that you are a licensed or credentialed clinician acting within your scope of practice and that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not access or use the Service.
1. Eligibility and accounts
The Service is for licensed and credentialed clinicians and trained professionals. You agree to provide accurate registration information, including the email used for your course purchase, and to keep it current. Your acceptance of these Terms is recorded with a timestamp.
Your account is personal to you. You are responsible for all activity under your credentials and for keeping them confidential. One account is for one individual. Credentials may not be shared, transferred, sold, or used by more than one person.
2. Educational purpose only; not medical advice
All content is provided solely as professional educational reference for licensed clinicians. It is not medical advice, a substitute for clinical judgment, or a certification of competency. You are solely responsible for applying any technique only within your training, certification, licensure, and scope of practice, and for the care of your own patients. AQuire and its instructors are not responsible for how you apply the material.
3. Access and entitlement
Access is an entitlement tied one-to-one to the course you purchased: a purchase unlocks only the matching technique library, for a six-month window from the purchase date. Access ends automatically when the window closes and remains closed unless renewed. Entitlements are personal and non-transferable, and may not be resold, gifted, pooled, or assigned.
Purchases are made through our course platform; the Service grants access in response to a verified purchase. We may grant, suspend, or revoke access to enforce these Terms or to correct an error or failed purchase sync.
4. Ownership and intellectual property
All content in the Service, including the technique videos, demonstrations, clinical cues, chapter notes, narration, thumbnails, written materials, and the selection, arrangement, software, and design of the platform, together with the AQuire and AQ Techniques names, logos, and marks, is the exclusive property of AQuire and of the instructors and content creators who license their work to AQuire. It is protected by United States and international copyright, trademark, trade secret, and other intellectual-property laws.
Nothing in these Terms transfers any ownership or intellectual-property right to you. All rights not expressly granted are reserved by AQuire and its content creators.
5. Limited license granted to you
Subject to an active entitlement and your compliance with these Terms, AQuire grants you a limited, personal, revocable, non-exclusive, non-transferable, and non-sublicensable license to stream and privately view the technique videos unlocked by your purchase, solely for your own professional education and clinical reference within your scope of practice, and only during your access window.
This license is for streaming and personal reference only. It conveys no ownership and no other right of any kind in the content.
6. Prohibited uses
You may not, and may not permit, enable, or assist any other person to:
- ✕download, record, screen-capture, screen-record, rip, cache for offline reuse beyond the in-app feature, or otherwise make a copy of any video or material;
- ✕reproduce, republish, post, distribute, transmit, broadcast, publicly display, or publicly perform any content, in whole or in part;
- ✕sell, resell, rent, lease, license, sublicense, or otherwise commercialize any content or your access to it;
- ✕share, transfer, or disclose your login credentials, or allow anyone else to view the library through your account;
- ✕circumvent, disable, probe, or interfere with any access control, signed token, watermark, digital-rights-management, or other security feature;
- ✕use any content to create derivative works, adaptations, compilations, courses, or training materials;
- ✕scrape, crawl, harvest, or use any automated means to access, index, or extract content or data;
- ✕use any content or data to train, fine-tune, evaluate, or develop any machine-learning or artificial-intelligence model;
- ✕remove, obscure, or alter any copyright, trademark, attribution, or proprietary notice; or
- ✕use the content outside your scope of practice or in any unlawful manner.
7. Content creators and instructors
The clinicians and instructors who create the demonstrations retain ownership of their techniques, demonstrations, voice, and likeness, which they license to AQuire. Your access gives you no right to copy, imitate commercially, re-teach, attribute, or otherwise exploit an instructor's work, name, or likeness. Unauthorized use harms both AQuire and the content creator, and each of them may enforce these Terms against you, including as an intended third-party beneficiary.
8. Enforcement and remedies
Unauthorized copying, recording, distribution, resale, or other misuse of the content is a material breach of these Terms and an infringement of copyright and other rights. We may suspend or terminate your access immediately and without refund. AQuire and the affected content creator may pursue all available remedies, including injunctive relief, actual and statutory damages, and recovery of costs and attorneys' fees to the extent permitted by law. You acknowledge that monetary damages alone may be inadequate and that injunctive relief is an appropriate remedy for a breach of Sections 4 through 7.
9. Feedback
If you send us suggestions or feedback, you grant AQuire a perpetual, irrevocable, royalty-free, worldwide license to use it without restriction or obligation to you.
10. Subscription, sale, and refunds
Each purchase is a one-time sale of a fixed-term, time-limited license to one technique library, tied to the course you bought and valid for six months from the purchase date. It is not an auto-renewing subscription. There are no stored cards and no automatic or recurring charges. Access begins when it is granted and ends automatically at the end of the term.
Pricing is presented to you at the time of purchase and on the Pricing and Renewal page. To continue after your term ends, you may renew by making a new purchase at the then-current rate, which opens a new six-month term.
Payments are nonrefundable. Except where a non-waivable law requires otherwise, all sales are final, and there are no refunds, credits, or pro-rated amounts for any partially used, unused, or remaining portion of an access period, including if your access is cancelled or terminated for breach of these Terms.
11. Payment amounts and fees
The fee for each technique library is the amount shown on the Pricing and Renewal page and at checkout at the time of purchase, in U.S. dollars and exclusive of any applicable taxes, which are your responsibility. The current subscription fees are $149 for a six-month term and $39 for a one-month term per technique library. Access to the library matched to a course you purchase is included with that course at no additional charge.
Payment is processed by our course platform and its third-party payment processor. By purchasing, you authorize the charge for the stated amount and confirm that you are authorized to use the payment method. We do not store your card details.
12. Fee changes
We may change our fees, plans, and pricing at any time. Any change applies to purchases and renewals made after it takes effect and does not affect the price of a term you have already paid for. When you renew, the then-current fee applies; the fee in effect at the time of your purchase governs that term.
13. Cancellation
Because access is sold as a fixed six-month term and does not auto-renew, there is no recurring subscription to cancel and no future charge to stop. You may stop using the Service or choose not to renew at any time; your access simply ends when your current term expires.
Cancelling, stopping use, or letting access lapse does not entitle you to any refund or credit, including for any unused or remaining portion of a term, as described in Section 10. We may also suspend or cancel your access for breach of these Terms, as described in Section 18.
14. Copyright complaints (DMCA)
We respect intellectual-property rights and respond to notices of alleged infringement under the Digital Millennium Copyright Act. If you believe content on the Service infringes your copyright, send a notice with the information required by 17 U.S.C. § 512 to our designated agent at hello@askaquire.com. We may remove allegedly infringing material and terminate repeat infringers.
15. Disclaimers
The Service and all content are provided "as is" and "as available," without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that any technique will produce a particular clinical result.
16. Limitation of liability
To the fullest extent permitted by law, AQuire and its instructors, officers, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising out of or relating to your use of the Service. Our total liability for any claim relating to the Service will not exceed the amount you paid for the access at issue in the twelve months before the claim.
17. Indemnification
You agree to indemnify and hold harmless AQuire and its instructors and affiliates from any claim, loss, or expense, including reasonable attorneys' fees, arising out of your breach of these Terms, your misuse of the content, or your application of any technique to a patient.
18. Termination
We may suspend or terminate your access at any time for breach of these Terms or to protect the Service or its content. The license in Section 5 ends automatically when your access window closes or your account is terminated. Sections 4 through 9 and 15 through 19 survive termination.
19. Governing law and changes
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules, and you consent to the exclusive jurisdiction of the state and federal courts located in California. We may update these Terms from time to time; the "Effective date" above shows when they last changed, and your continued use after a change means you accept the updated Terms.
